Go Up Education Technology Limited has issued a notice convening its Annual General Meeting (AGM) for 11:00 a.m. on 25 September 2026 at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong.
Key agenda items:
• Financial Statements: Shareholders will consider and adopt the audited consolidated results and the directors’ and auditor’s reports for the financial year ended 31 March 2026.
• Board Composition: Six directors are standing for re-election—Executive Director Yuen Hiu Tung; Non-executive Directors Cheng Hoi Ming and Yau Chi Ho; and Independent Non-executive Directors Tam Chak Chi and Liu Yongsheng. The meeting will also authorise the board to determine directors’ remuneration.
• Auditor Re-appointment: Infinity CPA Limited is nominated for re-appointment as external auditor, with remuneration to be set by the board.
• Share Issuance Mandate: The board seeks a general mandate to allot, issue or deal with shares up to 20% of the company’s issued share capital (excluding any treasury shares) during the “Relevant Period.” The mandate includes authority to grant options, warrants or other convertible securities.
• Share Buy-back Mandate: A separate resolution proposes authorising the board to repurchase shares on recognised exchanges up to 10% of issued share capital (excluding any treasury shares) during the same period.
• Mandate Extension: Conditional on the above approvals, the share issuance limit may be extended by the number of shares repurchased, up to an additional 10% of issued share capital.

• Share transfer books will be closed from 22 September to 25 September 2026 (both days inclusive). To qualify for AGM attendance and voting, share transfers must be lodged by 4:30 p.m. on 21 September 2026.
• Shareholders may appoint one or more proxies; valid proxy forms must reach Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, at least 48 hours before the meeting.
• Any poll voting will be conducted in accordance with the GEM Listing Rules.
At the date of the notice, the board comprises seven directors: Executive Directors Yuen Hiu Tung (Chairman) and Lin Su; Non-executive Directors Yau Chi Ho and Cheng Hoi Ming; and Independent Non-executive Directors Chan Ka Hung, Tam Chak Chi and Liu Yongsheng.
