Hao Wen Holdings Sets 29 June 2026 AGM; Proposes Director Re-election, General Mandates and New Share Option Scheme

Hao Wen Holdings Limited will convene its annual general meeting at 2:00 p.m. on 29 June 2026 at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong.

Key resolutions to be tabled include:

1. Financial Statements • Receipt and adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

2. Board Composition • Re-election of Ms. Bai Jie as an executive director. • Re-election of Ms. Ho Yuen Ki as an independent non-executive director. • Authorisation for the board to fix directors’ remuneration.

3. Auditor • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor and authorisation for the board to set its remuneration.

4. Share Capital Authorities • General mandate permitting the board to issue additional shares not exceeding 20% of the company’s issued share capital. • General mandate permitting the company to repurchase shares up to 10% of its issued share capital. • Extension of the issuance mandate by the amount of shares repurchased under the buy-back mandate.

5. Equity Incentives • Termination of the existing share option scheme and adoption of a new share option scheme accompanied by a fresh scheme mandate limit.

Shareholders on record may appoint proxies to attend and vote; completed proxy forms must reach Tricor Investor Services Limited no later than 48 hours before the meeting.
