STANCHART trims issued share capital to 2.18 billion after cancelling 0.75 million repurchased shares

Standard Chartered PLC (STANCHART) reported the cancellation of 752,765 ordinary shares on 25 August 2026, reducing its issued share count by 0.03% to 2.18 billion.

The cancelled shares had been repurchased on 20 and 21 August 2026 at volume-weighted average prices of GBP 21.55 and GBP 21.61 respectively. Following the reduction, the company’s issued share capital stands at 2,184,769,855 ordinary shares.

Additional repurchases pending cancellation • 24 August 2026: 377,391 shares bought at an average GBP 21.81 • 25 August 2026: 366,855 shares bought at an average GBP 21.70

These 744,246 shares, equal to 0.03% of the current share base, will be cancelled once settlement is completed.

25 August 2026 buy-side activity On 25 August 2026 STANCHART acquired 366,855 shares across three venues—London Stock Exchange, Cboe BXE and Cboe CXE—paying between GBP 21.36 and GBP 22.14 per share. The aggregate consideration was GBP 7.96 million, implying a weighted average cost of approximately GBP 21.71 per share. All shares bought are designated for cancellation.

Repurchase mandate utilisation • Shareholder mandate date: 7 May 2026 • Maximum shares authorised for buyback: 221.63 million • Shares purchased since mandate: 29.94 million, or 1.35% of the share capital outstanding when the mandate was granted.

No treasury shares are held, and all repurchased shares to date are intended for cancellation, underscoring the group’s ongoing capital-return programme.
