Hao Wen Holdings Sets 29 June 2026 AGM to Vote on Share Mandates, Board Re-elections and New Option Scheme

The board of Hao Wen Holdings has convened its annual general meeting for 29 June 2026 at 2:00 p.m. at The Center, Central, Hong Kong. Key resolutions to be tabled include:

1. Financial Statements and Audit • Adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with directors’ and auditors’ reports. • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor with board-delegated authority to fix remuneration.

2. Board Composition and Remuneration • Re-election of Ms. Bai Jie as executive director and Ms. Ho Yuen Ki as independent non-executive director. • Authorisation for the board to determine directors’ remuneration.

3. General Mandates • Issuance mandate: authority for the board to allot and issue new shares or resell treasury shares up to 20% of the company’s issued share capital as at the AGM date, with power to extend this limit by the number of shares repurchased. • Share buy-back mandate: authority to repurchase up to 10% of issued shares. • Extension mandate: conditional increase of the issuance limit by the amount of shares actually repurchased.

4. Equity Incentives • Adoption of a new share option scheme, subject to Stock Exchange approval, with a scheme mandate limit set at 10% of the company’s issued share capital on the approval date. • Termination of the existing share option scheme adopted on 15 November 2019, preserving all outstanding unexercised options.

Key administrative details: • Shareholders must be on the register by 23 June 2026 to attend and vote; the register will be closed from 24 June to 29 June 2026 (both days inclusive). • Proxy forms and related authorities must be lodged at Tricor Investor Services at least 48 hours before the meeting. • Contingency plans are in place for severe weather; any postponement will be announced on the HKEXnews and company websites.

The current board comprises Executive Directors Mr. Feng Keming and Ms. Bai Jie, and Independent Non-executive Directors Mr. Chan Kwan Yiu, Ms. Ma Sijing and Ms. Ho Yuen Ki.
